LEGAL ADVISORY SERVICES

I. Regular Advisory Service:

• 24h Advice on labor, social welfare, tax, accounting, auditing, investment, etc.: We advise Clients on legal framework and important solutions in compliance with Vietnam laws;
• Monthly Legal & Tax Newsletter: We help Clients update on new regulations on monthly basis. The regulations are considered important by us in relation of labor, social welfare and business activities of the Clients.

II. Market Entry and Business Set-up:

• Market Entry Advice: We advise Clients on legal framework and business conditions for specific industries before investment decision in Vietnam;
• Investment and Business Licensing support: We help Clients obtain Investment and Business license facilitating the operation of their legal entities in Vietnam.

III. Special ad-hoc licensing:

• Supporting Industry Certificate: We support Clients on licensing procedures to obtain the Certificate issued by Ministry/Department of Industry and Trade. The Certificate brings huge benefits from Corporate Income Tax incentives and other taxes in Vietnam;
• Technology Transfer Certificate: We help Clients obtain the Certificate issued by the Ministry/Department of Science and Technology. The Certificate supports Clients in legalization and optimization of technology transfer expenses from Parent Companies into Vietnam;
• Certificate of high-tech Enterprises or science and technology Enterprises: We help Clients apply for the Certificate issued by the Ministry/Department of Science and Technology. The Certificates supports Clients to obtain Corporate Income Tax Incentives and other taxes in Vietnam.

IV. Mergers and Acquisitions:

• Legal structuring and planning: We advise Clients on their legal structuring before and after their company establishment in Vietnam upon their business demands;
• Legal due diligence and related-licensing support: We advise Clients on determination of legal compliance status of Targeted Company in M&A deal, then support them for related Licensing Services (establishment of new legal entities after M&A and closing of the old ones).
